Sound Cards only matter if you're using analog Speakers or Headset connections.

If you go optical, then the sound processing bypasses the sound card and goes straight to the DAC on the end device (speaker or headset). At that point any onboard audio will do the trick.

If you actually want to benefit from your sound card, then yes.

Otherwise if you use optical, than any sound card, including onboard with a proper optical port will just bypass the processing on the sound chip and send the data straight to the DAC on your end device.

Obviously a fair spread in price. Besides the fancy mic the SB comes with, is there any real difference or is this something where price is the only real difference?

Sound card worth it to gain extra decibel & 3d Audio for gaming headphone. If you have a receiver it's better to stick with HDMI.
