I have this exact same problem. I HAVE TRIED EVERYTHING! Uninstall, reinstall. Update drivers, download latest patches and updates.
I've followed the instructions from this link http://forums.steampowered.com/forums/showthread.php?t=2729965

and also this one
http://support.rockstargames.com/entries/21516788-net-c-directx-nothing-happening-after-pressing-launch-in-max-payne-3-for-pc.

Absolutely nothing works. I hate this game right now.

Having the same problem. After the game's done installing, it just sits at the Rockstar Auto-Updater window and doesn't progress at all. I tried the Steam trick too and didn't work either.

I hope Rockstar fixes this issue soon.

Try this... When you start the game and the updater comes up, repeatedly click on the updater until you get to the first screen with all the copyright stuff on it.

I had the same problem, couldn't find a solution and that's what I tried (for some reason) and it worked.

same problem as the OP using windows 7. where exactly are you clicking on the updater? on one of the buttons or just in the window or on the toolbar?

i'm about to try the solution on the steam forum, i'll let you guys know how it turns out.

I clicked just the window. I did also disable Firewall before reinstalling again, that could've been the problem too.

Doesn't work for me. Re installed with firewall and antivirus off and set the path to c:\MaxPayne3 during setup. Clicking on the updater does keep it open and hitting pause shows the play button. But then it still just closes or pops up saying Max Payne 3 has stopped working.

Spennyworth, download this rar file and just put the three files included into your main installation folder. Another user on here gave me the link and the files made my game work! I played into the fourth chapter already without any problems.
