The game look far more realistic than Gran Turismo 5 graphically. All the cars have been retouched. The important feature are all there.

The AI is improved, the driving physics are tweaked for the better, Season Made is much more streamlined and provides good variety, and the Rivals mode is addicting as hell. Overall, it just feels better than Forza 3 in every way. I went alot more in-depth with the comparison in my review here:

The only reviewers that matter to me when it comes to racing games. They know what they're talking about. It's 30mins long, but goes into every detail of the game.

Pretty much everything's improved so if you're deciding on which one to buy, Forza 4 is the obvious choice.
If you're burned out on Forza 3 (or other racing sims), delay buying this game. Even though it improves pretty much everything, it does not add enough worthwhile features to feel fresh or get you interested in the game again if you're tired of racing sims. (That's pretty much how I feel, I probably won't pick it up for another half a year or so, maybe even more if a version is announced that comes bundled with the DLC) --- Time...line...?
