The key is to learn to avoid his attacks.

Tips:
Move only Up or Down when you see the panel flash yellow (meaning he is going to attack), because moving side to side is risky because the dark worm attack thing attack sideways only

When he throws that flame attack, just encircle the field so that you don't get hit by the fire

Be carefull when he summons Dark Mega Man because his attacks depend on the position you are. If you are at the back row, he will probably use DarkLance, if you are on the front row, he will probably use DarkSword. Sometimes the attack is unpredictable and may use DarkMeteors or DarkThunder.

Another tricky attack is that he will transform into some kind of beast and attack in a 3x3 range plus crack your panels.

The hardest attack to avoid is when he will rush a bunch of claws at you and crack your panels.

I would install the navi program Airshoes, since he cracks panels. So when he does, step over them to make holes in the ground. Most attacks from Nebula Gray do not work in holes, so it's best to have Airshoes installed. Also, if you didn't know, you have to attack the blue flame circling him. He attacks every time the flame goes a whole circle around him.
